Terms and Conditions of Sale

1. SCOPE AND ACCEPTANCE

1.1. The General Terms and Conditions of Sale (hereinafter referred to as “GTC”) apply exclusively to all sales of products (hereinafter referred to as the “Products”) made by Adopt Shop US (hereinafter referred to as “we,” “our,” or “the Seller”) to consumers (hereinafter referred to as “you,” “your,” or “the Buyer”) through its website adoptshop-us.com (hereinafter referred to as “the Website”). Placing an order implies the Buyer’s full and unconditional acceptance of these GTC in their entirety, to the exclusion of any other document.

1.2. The Seller reserves the right to modify its GTC at any time. The applicable GTC are those in force on the Website on the date the order is placed.

1.3. The main characteristics of the Products (including photographs, descriptions, and technical specifications) are presented on the Website. While we strive for accuracy, variations may occur. The Buyer is deemed to have taken note of the Product descriptions before ordering.

2. PRODUCT AVAILABILITY

2.1. Product offers are valid as long as they are visible on the Website, within the limits of available stock. Information on Product availability is indicated in the product description.

2.2. In the event of Product unavailability after an order is placed, the Seller will inform the Buyer without delay and may propose either (a) a substitute product of equivalent quality and price, subject to the Buyer’s express agreement, or (b) the cancellation of the order for the unavailable Product(s) and a full refund of the corresponding amount paid.

3. ORDER PROCESSING

3.1. To place an order, you must follow the steps indicated on the Website, including selecting the Products, adding them to your cart, providing the necessary delivery and billing information, and confirming the order after verifying its details. An order confirmation email summarizing the order details (including Products, prices, and selected delivery option) will be sent to you, subject to payment acceptance.

3.2. The Seller reserves the right to refuse or cancel any order from a Buyer with whom there is a dispute concerning a previous order, who has provided incomplete, inaccurate, or fraudulent information, or whose order appears to be of an abnormal or fraudulent nature.

4. PRICE AND PAYMENT TERMS

4.1. The prices of the Products are indicated in the currency specified on the Website, inclusive of all taxes (including applicable VAT), but exclusive of delivery costs. Delivery charges will be clearly indicated and added to the total price before final order confirmation.

4.2. The total amount payable by the Buyer is the price indicated at the final order confirmation step. Payment is due in full at the time of order.

4.3. Payment can be made using the methods offered on the Website (credit/debit card, PayPal, etc.). The payment is secured by our payment service providers. The order will be processed only upon full confirmation of payment by the financial institutions.

5. DELIVERY

5.1. The Products are delivered to the delivery address specified by the Buyer during the ordering process. It is the Buyer’s responsibility to ensure the accuracy and completeness of this information. The Seller cannot be held responsible for a delivery failure due to incorrect information provided by the Buyer.

5.2. Delivery times are provided for information purposes only and are calculated from the date of order confirmation and payment validation. While the Seller makes every effort to meet these deadlines, they are not guaranteed. Delays in delivery do not entitle the Buyer to claim damages or to cancel the order.

5.3. Upon delivery, the Buyer must verify the condition of the package and the Products. Any anomaly (damaged package, missing Product, incorrect Product, etc.) must be indicated in a clear and precise written reservation on the delivery note at the time of delivery and immediately reported to the Seller and/or the carrier.

6. RIGHT OF WITHDRAWAL

6.1. In accordance with applicable regulations, you have a period of fourteen (14) days from the date of receipt of the Products to exercise your right of withdrawal without having to justify your decision or pay any penalty, other than the direct cost of returning the Products as specified below.

6.2. To exercise this right, you must notify us of your decision to withdraw before the expiry of the 14-day period by using the contact form on our Website or another unambiguous statement.

6.3. You must return the Products to us without undue delay and no later than fourteen (14) days after you have communicated your withdrawal. You must bear the direct cost of returning the goods. Products must be returned in their original condition, with all accessories, and in their original packaging, to allow resale in new condition.

6.4. Subject to compliance with the conditions above, we will refund all payments received from you, including standard delivery costs (excluding any additional costs for a delivery method you selected that was not our standard least expensive method), without undue delay and no later than fourteen (14) days from the date we are informed of your withdrawal decision or the date we receive the returned goods, whichever is later. We will use the same means of payment as you used for the original transaction, unless you expressly agree otherwise.

7. WARRANTIES AND LIABILITY

7.1. The Products are subject to the legal warranty of conformity and the legal warranty against hidden defects. The Seller is liable for any lack of conformity existing at the time of delivery and for any hidden defect, in accordance with the law.

7.2. The Seller’s liability under these GTC is strictly limited to the direct and foreseeable damage resulting from a proven failure in the performance of its obligations. Under no circumstances shall the Seller be liable for any indirect or consequential damages (including but not limited to loss of profit, opportunity, or data). The total liability of the Seller for any single claim shall in no event exceed the total purchase price paid by the Buyer for the Product(s) concerned by the claim.

7.3. The Seller shall not be liable for any failure or delay in performance resulting from a force majeure event as defined by applicable law and jurisprudence, including but not limited to strikes, total or partial stoppage of transport or supply, fire, flood, or any other event beyond its reasonable control.

8. INTELLECTUAL PROPERTY

8.1. All elements of the Website (including but not limited to texts, graphics, logos, images, sounds, software, and the overall structure) are the exclusive property of the Seller or its licensors and are protected by intellectual property laws.

8.2. Any reproduction, modification, distribution, or use of these elements for any purpose whatsoever without the prior written authorization of the Seller is strictly prohibited.

9. PERSONAL DATA

9.1. The personal data collected during the ordering process is necessary for processing and delivering orders, managing customer accounts, and commercial prospecting (subject to your consent). This data is processed in accordance with our Privacy Policy, which is available on the Website.

9.2. In accordance with applicable regulations, you have the right to access, rectify, erase, and oppose the processing of your personal data by contacting us through the appropriate channel on the Website.

10. MISCELLANEOUS PROVISIONS

10.1. If any provision of these GTC is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

10.2. The fact that the Seller does not insist upon strict performance of any provision of these GTC shall not be construed as a waiver of any of its rights or remedies.

10.3. These GTC and the contractual relationship between the Seller and the Buyer are governed by the law applicable to the Seller’s registered office.

10.4. Any dispute relating to the interpretation or execution of these GTC shall, in the absence of an amicable settlement, fall within the jurisdiction of the competent courts as determined by applicable law.
